1. Agreement to Terms

By accessing or using the DAVC Network website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and DAVC Network regarding your use of the Services.

2. Description of Services

DAVC Network provides digital asset verification certificates and related services, including but not limited to:

  • Verification certificates for custodied digital assets, re-verified as prices and attestations change
  • Verification of custodian-signed custody attestations
  • Tri-party collateral control agreements, with loan-to-value monitoring and margin calls
  • Dashboard and API access for lenders, custodians, and compliance teams

Access to certain features may require separate agreements, approvals, or compliance with additional terms.

3. Eligibility

The Services are intended for institutional and professional users. By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding agreements
  • You are not prohibited from using the Services under applicable laws
  • If acting on behalf of an organization, you have authority to bind that organization

4. Account Registration

To access certain Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in fraudulent, deceptive, or harmful activities
  • Circumvent security measures or access restrictions
  • Interfere with the proper functioning of the Services
  • Transmit malicious code, viruses, or harmful data
  • Attempt to reverse engineer or extract source code
  • Use the Services for money laundering or terrorist financing

6. Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by DAVC Network or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose, subject to these Terms.

7. Confidentiality

You agree to maintain the confidentiality of any non-public information disclosed to you in connection with the Services, including technical specifications, API documentation, and business information.

8. Fees and Payment

Certain Services may be subject to fees. Fee schedules and payment terms will be provided in separate service agreements. You agree to pay all applicable fees in accordance with those terms.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAVC NETWORK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless DAVC Network and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified through the Services or via email. Continued use of the Services after changes constitutes acceptance of the modified Terms.
